Terms & Conditions

These Terms and Conditions ("Agreement") govern your access to and use of the Esonshopph wholesale digital gift card platform ("Platform"), operated by Esonshopph ("Company," "we," "us," or "our"). By submitting a partner application, registering an account, or using the Platform in any manner, you ("Partner," "you," or "your") agree to be bound by this Agreement in full.

If you do not agree to these Terms, do not register or use the Platform.

1. Eligibility and Partner Application

Access to the Platform is restricted to approved business entities. To be eligible, you must:

Be a legally registered business entity in your country of operation
Submit a complete partner application with accurate business information
Receive written approval from Esonshopph prior to accessing Platform features
Maintain a valid account in good standing throughout the partnership

Esonshopph reserves the right to approve or reject any partner application at its sole discretion, without obligation to provide reasons. Approval of a partner application does not constitute a commitment to supply unlimited product volume or guarantee continued access.

By applying, you represent that all information provided is accurate, current, and complete. Providing false or misleading information is grounds for immediate account termination.

2. Account Security

You are responsible for maintaining the confidentiality of your account credentials, API keys, and any authentication tokens associated with your account. You agree to:

Use a strong, unique password and enable two-factor authentication (2FA) as required by the Platform
Keep your API keys confidential and not share them with unauthorized parties
Notify Esonshopph immediately at support@esonshopph.com if you suspect unauthorized access or a security breach
Accept responsibility for all activity conducted through your account, whether authorized or not

Esonshopph will not be liable for any loss or damage resulting from your failure to maintain the security of your account credentials.

3. Products and Availability

The Platform offers wholesale digital gift cards and codes ("Products") sourced from authorized brand suppliers. The following terms apply to all Products:

Product availability, denominations, and pricing are subject to change without prior notice
Regional restrictions may apply to certain Products — it is your responsibility to verify that a Product is valid and legally permissible for use in your target market before purchasing
Digital codes are delivered electronically. Physical delivery is not available
Esonshopph does not guarantee continuous availability of any specific brand, denomination, or product line

All prices displayed on the Platform are in USD unless otherwise stated. Esonshopph reserves the right to adjust pricing at any time. Confirmed orders are fulfilled at the price displayed at the time the order is placed.

4. Wallet and Top-Up

All purchases on the Platform are conducted using prepaid wallet credits ("Wallet Balance"). The following terms apply:

Wallet top-ups are accepted via approved payment methods (including USDT cryptocurrency) as specified in the Platform configuration
All top-up requests are subject to manual review and approval by Esonshopph before credits are applied to your Wallet
Esonshopph reserves the right to request supporting documentation for any top-up request as part of our fraud prevention and compliance procedures
Wallet credits have no cash value and cannot be transferred to another account, exchanged for fiat currency, or withdrawn
Unused Wallet credits may be subject to forfeiture upon account termination in cases of policy violation or fraud, as determined by Esonshopph

5. Orders and Fulfillment

When you place an order through the Platform:

The order is automatically deducted from your Wallet Balance at the time of placement
Digital codes are delivered to your account and/or via API response upon successful order processing
Esonshopph will make reasonable efforts to fulfill orders promptly; however, delivery times may vary based on product availability and supplier processing
Orders are considered final once placed. Cancellations are not permitted after a digital code has been delivered
In the event of an unfulfilled order due to stock unavailability or supplier error, the deducted Wallet Balance will be fully refunded

6. Refunds and Disputes

Due to the nature of digital goods, all sales are final once a digital code has been successfully delivered. Refunds or replacements are only considered in the following circumstances:

The delivered code is invalid, already used, or does not function as described — reported within forty-eight (48) hours of delivery
The order was duplicated or charged erroneously due to a Platform error
The product was delivered but does not match the denomination or brand ordered

To initiate a dispute, contact support@esonshopph.com within forty-eight (48) hours of the order, providing your order reference number and a detailed description of the issue. Disputes raised after this window may not be eligible for resolution.

Esonshopph's decision on refund and replacement requests is final. Approved refunds are credited to your Wallet Balance only — cash refunds are not available.

7. API Access and Integration

Approved partners may access the Platform via our REST API for automated order placement and product catalog queries. API access is subject to the following:

API keys are issued exclusively to approved accounts and must be kept confidential
You may not share, resell, sublicense, or transfer API access to any third party
Rate limits apply to all API endpoints to ensure platform stability and fair usage
Any automated system or integration you build using the API must comply with all terms of this Agreement
Esonshopph reserves the right to modify, restrict, or revoke API access at any time with reasonable notice, except in cases of policy violation where access may be suspended immediately

8. Prohibited Uses

By using the Platform, you agree not to engage in any of the following activities:

Purchasing or distributing Products for use in fraudulent schemes, money laundering, or any illegal activity
Reselling Products in markets or jurisdictions where doing so is unlawful
Reverse engineering, scraping, or attempting to circumvent the Platform's security measures
Creating multiple accounts to circumvent purchase limits, pricing, or approval requirements
Using the Platform or its Products in connection with gambling, adult content, or any activity prohibited by applicable law
Impersonating Esonshopph or misrepresenting your relationship with Esonshopph to third parties
Interfering with the Platform's operation or the accounts of other partners

Violation of this section may result in immediate account suspension or termination, forfeiture of Wallet Balance, and referral to appropriate legal authorities.

9. Intellectual Property

All content, trademarks, logos, software, and materials on the Platform are the property of Esonshopph or its respective brand partners and suppliers. You are granted a limited, non-exclusive, non-transferable license to access and use the Platform solely for your approved wholesale business purposes.

You may not copy, reproduce, modify, distribute, or create derivative works from any Platform content without express written permission from Esonshopph. Brand names, logos, and gift card imagery remain the property of their respective brand owners.

10. Limitation of Liability

To the fullest extent permitted by applicable law, Esonshopph shall not be liable for:

Indirect, incidental, special, or consequential damages arising from your use of the Platform
Loss of profits, revenue, or business opportunities resulting from Platform downtime, product unavailability, or service disruption
Losses arising from unauthorized access to your account due to your failure to maintain credential security
Errors or delays caused by third-party suppliers, payment processors, or network providers
Any loss resulting from your use of a digital code in a jurisdiction where such use is restricted or prohibited

Esonshopph's total aggregate liability to you for any claim arising under this Agreement shall not exceed the Wallet Balance held in your account at the time the claim arises.

11. Indemnification

You agree to indemnify, defend, and hold harmless Esonshopph, its officers, employees, and agents from and against any claims, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising from:

Your use of the Platform in violation of this Agreement
Your failure to comply with applicable laws in your jurisdiction
Any claim by a third party arising from your resale or distribution of Products purchased through the Platform
Any misrepresentation made by you in your partner application or account information

12. International Partners

Esonshopph's Platform is available to approved wholesale partners globally. While this Agreement is governed by the laws of the Republic of the Philippines, partners are solely responsible for ensuring that their resale activities, business practices, and use of Esonshopph Products comply with all laws and regulations applicable in their own jurisdiction — including but not limited to:

Consumer protection and e-commerce regulations
Digital goods and gift card distribution laws
Tax obligations including VAT, GST, or equivalent
Anti-money laundering and financial crime regulations
Licensing requirements for digital goods distribution in your country
Import/export controls where applicable

Esonshopph makes no representation or warranty that its Products or services are legally permissible in any specific country or territory. It is your sole responsibility to verify local legal requirements before distributing or reselling any Product purchased through the Platform.

Esonshopph does not provide legal, tax, or regulatory advice. Partners should seek independent legal counsel in their jurisdiction as needed.

13. Account Suspension and Termination

Esonshopph reserves the right to suspend or terminate your account at any time for the following reasons:

Violation of any provision of this Agreement
Suspected fraudulent activity or misuse of the Platform
Failure to maintain accurate and current account information
Non-payment, excessive disputes, or chargebacks
Inactivity for an extended period, at Esonshopph's discretion

In cases of serious violation (fraud, illegal activity, security breach), suspension may be immediate without prior notice. In other cases, we will endeavor to provide reasonable notice before termination.

Upon termination, your access to the Platform will be revoked. Any remaining Wallet Balance may be refunded at Esonshopph's discretion, net of any amounts owed or disputed.

14. Amendments

Esonshopph reserves the right to modify these Terms and Conditions at any time. Material changes will be communicated via email or a prominent notice on the Platform at least fourteen (14) days before taking effect, except where immediate changes are required by law or to address security concerns.

Your continued use of the Platform after the effective date of any changes constitutes acceptance of the updated Terms. If you do not agree to the changes, you must cease using the Platform and notify us at support@esonshopph.com.

15. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to its conflict of law provisions.

Any dispute arising out of or in connection with this Agreement that cannot be resolved through good-faith negotiation between the parties shall be submitted to the exclusive jurisdiction of the appropriate courts of the Philippines.

This governing law clause applies to the relationship between you and Esonshopph under this Agreement and does not limit your obligations to comply with the laws of your own jurisdiction as set out in Section 12.

16. Entire Agreement

This Agreement, together with our Privacy Policy, Compliance Policy, and Purchase Agreement, constitutes the entire agreement between you and Esonshopph with respect to the Platform and supersedes all prior understandings, negotiations, or representations, whether written or oral.

If any provision of this Agreement is found to be unenforceable, the remaining provisions shall continue in full force and effect.
